ROLE & RESPONSIBILITY

• 1.     M&A and new company: Petroleum, PetChem, HVP (Petroleum, PetChem (Aromatics), Solvent, Lube, Ethanol), TS Group (Hydrocarbon Solvent and Specialty Solvent, Foods, Supplements, Pharmaceutical, Cosmetic), digital, others (“Core Business”)

  2.     Divestment, IPO, and Organization Change in relation to Core Business

  3.     Commercial (Products Sales and Purchase Agreements , MOU, LOI): Core Business , and TOP Group (except TOP SPP and CVC structure)

  4.     Financing Agreement (Intercom Loan, Bond, Loan from Financial Institutions): TOP Group

  5.     IP registration e.g. patent registration for TOP and TOP group in relation to Core Business

  6.     R&D agreement in relation to Core Business

  7.     IP commercialization in relation to Core Business

  8.     Corporate Matter (company laws + POAs + NDAs): TOP Group (except TOP SPP and CVC structure)

  9.     Legal dispute in relation to Core Business; involving TOP Group (except TOP SPP and CVC structure)

  10.   TOP’s AGM/EGM

  11.   Legal shared service to subsidiaries

EDUCATION

Bachelor or Master in business law will be advantage.

EXPERIENCE

Minimum 3 years of professional experience in legal practice or corporate compliance.

Strong ability in contract drafting, negotiation, and providing legal opinions on complex matters.

Excellent English communication skills, both written and spoken, with the ability to advise senior management effectively.
